Labadi Beach Hotel, La Palm and SSNIT land dispute: Why the legal documents matter

Public debate over the properties highlights the need to distinguish land ownership from leasehold rights and to establish the legal effect of Executive Instrument (E.I.) 10 of 1967.

Questions surrounding the legal status of land occupied by Labadi Beach Hotel, La Palm Royal Beach Hotel and the Social Security and National Insurance Trust (SSNIT) have brought renewed attention to an important issue in Ghana’s land administration: the distinction between ownership of land and the legal right to occupy and use it.

At the centre of the debate is a position that the three entities do not own the disputed lands outright and that the area falls under Executive Instrument (E.I.) 10 of 1967, which is said to provide the basis for government control over the site.

This position raises important legal questions about the nature of the government’s interest in the land, the extent of its authority to grant interests to other entities, and the agreements under which the properties are occupied.

However, resolving the matter requires more than public statements, political arguments or threats of litigation. It requires a careful examination of the relevant legal instruments, land records and contractual arrangements.

Ownership is not the same as occupation

One of the central arguments in the debate is that the occupation of land does not necessarily amount to outright ownership.

Under Ghana’s land tenure system, an entity may possess the legal right to occupy and use a property through a lease or sublease without owning the underlying land outright. The nature and extent of that interest depend on the relevant instrument, its terms and the applicable law.

A lease may grant rights to use land for a specified period, subject to conditions agreed upon by the parties. A sublease may confer a further interest derived from an existing lease, but its validity and scope depend on the superior interest and any applicable restrictions.

Consequently, the presence of Labadi Beach Hotel, La Palm Royal Beach Hotel or SSNIT on a particular parcel of land does not, by itself, establish whether the entity owns the land outright or occupies it under a leasehold arrangement.

Equally, the claim that the government controls the land does not, on its own, settle the precise nature of the interests held by the respective entities.

The relevant legal documents must establish those facts.

What does E.I. 10 of 1967 establish?

A significant part of the argument rests on Executive Instrument 10 of 1967, which is cited as the legal basis for government control over the area in question.

Those advancing this position maintain that the government retains the authority to grant interests in portions of the land to the hotels and other entities, provided the arrangements comply with the relevant legal framework.

The legal effect of that argument, however, depends on what E.I. 10 of 1967 actually provides, the land it covers and whether subsequent instruments or government decisions have altered the original position.

A proper assessment would need to establish the instrument’s precise geographical scope, the nature of the interest vested in or controlled by the government, and the legal powers it confers.

It would also be necessary to examine whether the government subsequently granted leases or subleases over the specific parcels occupied by the entities and whether those agreements remain valid.

Without examining the instrument and the relevant land records, it would be premature to conclude that the government has an unrestricted right to grant or reallocate every portion of the site.

The same caution applies to claims that the hotels or SSNIT have no legitimate interest in the properties. Such conclusions must be supported by evidence from the applicable legal documents.

The importance of the lease and sublease agreements

Beyond the executive instrument, the agreements governing the individual properties are central to resolving the dispute.

These documents would help establish who granted the relevant interests, the duration of each arrangement, the rights conferred on the occupants and the obligations imposed on the parties.

They could also clarify whether the agreements contain restrictions on transfer, renewal, development or other uses of the land.

Where a valid lease or sublease exists, its terms and the applicable law would determine the extent of the occupant’s rights and the circumstances under which those rights could be challenged or brought to an end.

Any legal action concerning the properties would therefore need to address the specific arrangements applicable to each entity rather than treating all three as though they necessarily hold identical interests.

The fact that the properties are located within the same general area does not automatically mean that they are governed by identical contracts or land rights.

Public criticism must be grounded in evidence

The controversy also raises questions about how public criticism and possible legal action should be approached.

Those who challenge the occupation of the land must identify the legal basis of their claims and demonstrate how the existing arrangements allegedly violate the law.

Likewise, the entities concerned would be entitled to rely on valid leases, subleases and other applicable legal protections in defending their interests.

Neither public accusations nor the threat of litigation can substitute for the examination of the relevant evidence.

A responsible public discussion should therefore distinguish between allegations about land ownership, questions concerning the validity of particular agreements and claims about whether government authorities have complied with the law.

These are related issues, but they are not necessarily the same.

Government authority and accountability

The government’s role in the matter also deserves careful consideration.

If the applicable legal instruments confer authority on the state to manage the land and grant interests to other entities, the exercise of that authority must still comply with the law and the conditions governing the relevant transactions.

The existence of government authority does not automatically establish that every subsequent transaction is valid. Similarly, the existence of a private or institutional lease does not, by itself, prove that the original grant or every subsequent decision complied with the law.

The central question is whether the interests granted, the agreements executed and any subsequent government decisions are consistent with the governing legal framework.

Answering that question would require access to the relevant records and, where necessary, an authoritative legal determination.

The way forward: Establish the facts

The debate surrounding Labadi Beach Hotel, La Palm Royal Beach Hotel and SSNIT presents an opportunity to clarify the legal status of the properties and promote greater transparency in land administration.

A credible assessment should begin with the publication or examination of E.I. 10 of 1967, the relevant cadastral and land records, the leases or subleases granted to the entities, and any subsequent instruments affecting the properties.

Where disagreements remain, the parties should use the appropriate legal processes to resolve them on the basis of evidence and applicable law.

This approach would help prevent public discussion from becoming dominated by assumptions and competing claims that have not been tested against the relevant documents.

Ultimately, the issue is not simply whether the three entities occupy the land, but what legal interests they hold, how those interests were created and whether they remain valid under Ghanaian law.

Until the relevant instruments and agreements have been properly examined, definitive conclusions about ownership, government control or the legality of the entities’ occupation would be premature.

The essential point is that the legal documents must lead the debate, not the debate dictate the legal conclusions. Establishing the facts is the most reliable path towards accountability, transparency and a fair resolution of the matter.
